GENERAL TERMS AND CONDITIONS OF SALE


ARTICLE 1 – SCOPE
These General Terms and Conditions of Sale (hereinafter “GTC”) apply to all services offered and delivered by Art Wine Guide – Lazovsky Kirill, a sole proprietorship registered under number 792 530 172 RCS Paris, with its registered office at 58 rue de Monceau, 75008 Paris, France.

Art Wine Guide provides a range of services in the field of wine tourism, gastronomy, cultural travel and wine education, including but not limited to:
Private and small-group wine and gastronomy tours in France and selected destinations in Europe (e.g., Spain, Portugal, Italy, Belgium), including itinerary design, wine tastings, gourmet meals, visits to producers, and local cultural experiences;
Personalized travel support for international clients (mainly Russian-speaking), including restaurant reservations, coordination of transport, and full on-site assistance;
Professional translation and interpretation services, from French and Spanish into Russian, in the context of travel, business meetings, events, and tourism;
Online and in-person wine education, including thematic courses (e.g., sparkling wines, food & wine pairing, Bordeaux wines, New World wines), digital resources and learning support;
Consulting and bespoke services upon request, depending on the client’s needs.

These GTC apply to all contracts concluded between Art Wine Guide and a client, whether the agreement is made in person, by email, or via an online platform.

By validating a quote, invoice, or online booking, the client fully acknowledges and accepts these General Terms and Conditions of Sale, without reservation.

ARTICLE 2 – PRICES
All prices are expressed in euros (EUR) and are inclusive of all taxes.
In accordance with article 293 B of the French General Tax Code, Art Wine Guide – Lazovsky Kirill operates under the VAT exemption regime, meaning that VAT is not applicable to the prices shown.

The applicable price for each service is communicated in advance, either:
• via the official website,
• in a written offer or program description,
• or in a personalized quote sent to the client by email.

Prices vary depending on several criteria, including but not limited to:
• the type and duration of the service (tour, course, interpretation, etc.);
• the number of participants (private vs group);
• the season and destination (e.g., high season in Bordeaux or Champagne);
• the inclusion of premium options (high-end restaurants, upgraded transport, private tastings, VIP access);
• and any tailor-made or last-minute adjustments requested by the client.

Logistical expenses, such as:
private transport arrangements (chauffeur, minivan, bus);
vehicle rental (with or without a driver);
travel costs for the provider (accommodation, meals, tolls, fuel);
• or third-party services (licensed guides, event tickets, interpreters),

may be billed separately or included in the total price, depending on the agreement.

Each service is subject to a clear and detailed quote, and no payment will be requested without prior agreement on the scope and price.

ARTICLE 3 – ORDERS
An order is considered final and binding once the following conditions are met:
• the client has expressly confirmed the booking in writing (by email, signed quote, or via an online reservation form);
• and has paid a deposit of 30% of the total amount due.

No service shall be reserved or guaranteed until both conditions are fulfilled.

The remaining balance (70%) must be paid no later than 7 calendar days before the scheduled start of the service, unless explicitly agreed otherwise in writing.

In case of:
delayed payment of the remaining balance,
• or incomplete payment at the due date,

Art Wine Guide reserves the right to cancel the booking and retain the deposit as compensation for the preparation time and reserved resources.

For last-minute bookings (made less than 7 days before the start of service), full payment is required at the time of confirmation.

All bookings are subject to availability and are confirmed on a first-come, first-served basis.

ARTICLE 4 – PAYMENT TERMS

4.1. Accepted payment methods
The following payment methods are accepted:
Bank transfer (preferred for services above €500);
Credit or debit card (via a secure link or payment system, subject to availability);
Cash payments may be accepted in person, under the limit of €1,000 (in accordance with French financial regulations);
• Other means (e.g. PayPal or Revolut) may be considered on a case-by-case basis and must be confirmed in writing.

All payments must be made in euros (EUR). Any transaction fees or currency conversion costs (if applicable) are borne by the client.

4.2. Payment confirmation and invoicing
Upon receipt of payment (deposit or full balance), the client will receive:
• a confirmation email,
• and a detailed invoice, issued in compliance with French accounting standards.

The service will only be delivered if full payment has been received within the indicated deadlines (see Article 3).

4.3. Specific conditions for online services
For online purchases (such as digital courses, downloadable documents, or webinar access):
• full payment is required at the time of order,
• and access is granted immediately (or within 24 hours), unless otherwise stated,
• in such cases, the client waives the 14-day right of withdrawal as per Article L221-28 of the French Consumer Code.

4.4. Late or missing payments
In the event of non-payment or late payment, Art Wine Guide reserves the right to:
• suspend or cancel the service,
• apply late fees, or
• retain previously paid amounts (see cancellation policy in Article 6 and 7).

ARTICLE 5 – SERVICE DELIVERY AND TIMING

5.1. General principles
All services are delivered on the dates, times, and locations expressly agreed upon between Art Wine Guide and the client, based on the program, itinerary, or schedule confirmed in writing.

The provider commits to delivering the service in accordance with:
• the agreed description,
• the planned duration,
• and the expected level of quality and personalization.

5.2. Types of services and delivery modes
Art Wine Guide offers several types of services, delivered as follows:
In-person services (tours, tastings, interpretation) take place at the scheduled physical location and time;
Online services (courses, documents, virtual tastings) are delivered via a secured digital platform or email;
Hybrid services (e.g., pre-trip planning + live assistance) combine online and on-site delivery.

5.3. Logistics and transport coordination
Upon request, the provider may organize:
vehicle rental with or without driver,
chauffeur services, minivans or private buses via partner transport companies,
• and assist in booking taxis, trains, or airport transfers.

These services may be invoiced separately or included in the total package, depending on the agreement.

Art Wine Guide acts as an intermediary and cannot be held liable for delays or service failures caused by third-party transport providers.

5.4. Delay and failure to deliver
If Art Wine Guide fails to deliver the agreed service within the scheduled time without a valid justification (e.g. force majeure), the client may:
1. Formally request completion of the service within a reasonable grace period;
2. If the service is still not delivered after this period, the client may terminate the contract by sending a written notice (email or letter).

In such case, the client is entitled to a full refund of the amounts already paid, within a maximum of 14 calendar days following the termination.

ARTICLE 6 – RIGHT OF WITHDRAWAL

6.1. General rule for consumers
In accordance with Articles L221-18 to L221-28 of the French Consumer Code and applicable EU law, any client acting as a consumer (i.e. not as a business entity) has the right to withdraw from a distance contract (concluded by email, online, or phone) within a period of 14 calendar days from the date of conclusion of the contract.

No justification or penalty is required to exercise this right.

The client must notify their decision in writing by email to kirill.lazovsky@gmail.com, and may use a standard withdrawal form available upon request.

6.2. Exceptions to the right of withdrawal
As provided by Article L221-28 of the French Consumer Code, the right of withdrawal does not apply in the following cases relevant to Art Wine Guide services:
Services that have already been fully performed before the end of the withdrawal period, with the client’s prior express consent and acknowledgment of waiver of the right;
Leisure, travel, or tourism services (including wine tours, tastings, cultural programs) provided on a specific date or during a specific period;
Digital content or online courses that are made accessible immediately after purchase, where the client has explicitly accepted the early delivery and waived the right of withdrawal.

6.3. Professional clients
Clients acting as professionals (companies, agents, or any entity ordering in the course of business activity) do not benefit from any legal right of withdrawal, unless otherwise specified in the contract.

ARTICLE 7 – CLAIMS

7.1. Submission of a claim
Any dissatisfaction or complaint regarding the quality, content, or execution of a service must be reported by the client within 7 calendar days of the end of the concerned service.

The complaint must be sent in writing by email to:

To be valid, the claim must include:
• the client’s full name and contact information,
• the date and nature of the service concerned,
• a clear and detailed description of the issue encountered,
• any relevant supporting documents (photos, email exchanges, receipts, etc.).

Incomplete or anonymous complaints may not be processed.

7.2. Handling and response time
Upon receipt of the complaint, Art Wine Guide commits to:
• acknowledging the complaint within 5 business days,
• and providing a formal response with a proposed solution within 15 business days.
Whenever possible, an amicable resolution will be proposed, including but not limited to: correction of the issue, partial refund, postponement, or credit for future use.
In the event of a persistent disagreement, the client may refer to the mediation procedure described in Article 10.

ARTICLE 8 – LIABILITY AND GUARANTEES

8.1. Professional responsibility
Art Wine Guide – Lazovsky Kirill is committed to carrying out all services with care, professionalism, and in accordance with the description agreed upon with the client.

The provider is bound by a best-effort obligation (“obligation de moyens”), and not by an obligation of result. This means that while every effort is made to meet the client’s expectations, success depends on external factors, such as weather conditions, the conduct of third parties, and the responsiveness of partners (e.g. wineries, restaurants, drivers).

The provider shall not be held liable in the following cases:
• delays or cancellations due to force majeure (see Article 11);
• the failure or poor performance of third-party providers not under the direct control of Art Wine Guide (e.g., transport companies, hotel staff);
• the client’s own behavior, including late arrival, absence, or non-compliance with health, visa, or insurance requirements.

8.2. Digital content and online services
In the case of non-conforming, inaccessible, or defective digital content (such as an online course, guide, or document), the client may request one of the following within 30 calendar days of the problem being reported:
repair (e.g., fixing access issues);
replacement (e.g., sending a corrected version);
• or full or partial refund, depending on the circumstances.

In accordance with Articles L224-25-1 and following of the French Consumer Code, the legal guarantee of conformity applies to digital content and services for a period of 2 years from the date of delivery.

This guarantee covers:
• the accessibility and functionality of the content;
• its conformity with the description;
• and its normal use as expected by an average user.

ARTICLE 9 – PERSONAL DATA

9.1. Data collected and purpose
In the context of its activities, Art Wine Guide – Lazovsky Kirill may collect and process personal data including, but not limited to:
Name,
Email address,
Phone number,
Billing address,
Travel preferences,
• and any other information voluntarily submitted by the client.

This data is collected exclusively for the purposes of:
• managing client orders and reservations,
• delivering services as agreed (in person or online),
• issuing invoices and payment confirmations,
• and maintaining communication before, during, and after the service.

Personal data is stored securely and is never transferred, sold, or disclosed to third parties without the client’s explicit consent, unless legally required.

9.2. Legal basis and data retention
The collection and processing of personal data are based on:
• the execution of a service contract,
• and/or the client’s explicit consent when subscribing to a newsletter or completing an online form.

Data is kept for the duration necessary to complete the services, and may be archived for a maximum of 3 years for legal and administrative purposes.

9.3. Rights of the client
In accordance with Regulation (EU) 2016/679 (General Data Protection Regulation – GDPR) and the French Data Protection Act (Loi Informatique et Libertés), every client has the right to:
Access their personal data;
Rectify incorrect or outdated data;
Request deletion (“right to be forgotten”);
Object to data processing for legitimate reasons;
Request data portability in a machine-readable format.

These rights may be exercised at any time by writing to:

9.4. Complaints
In case of difficulty or dispute regarding the processing of personal data, the client may lodge a complaint with the competent supervisory authority:

ARTICLE 10 – MEDIATION
In accordance with Articles L611-1 to L616-3 of the French Consumer Code, any client acting as a consumer has the right to request free mediation in case of a dispute with Art Wine Guide – Lazovsky Kirill, once all prior attempts to reach an amicable solution have failed.

Mediation is an alternative dispute resolution method that is:
• confidential,
• non-binding,
• free of charge for the consumer,
• and conducted by an independent third party.
The designated consumer mediation body is:

To submit a request, the client must:
1. Have previously attempted to resolve the issue directly with the provider (e.g., via email complaint as described in Article 7);
2. File their mediation request via the CM2C website or by email;
3. Attach all relevant documents (contract, invoice, complaint correspondence, etc.).
Additionally, for cross-border purchases within the EU, consumers may also use the European Commission’s Online Dispute Resolution (ODR) platform:

Mediation does not deprive the client of the right to take legal action if the dispute is not resolved.

ARTICLE 11 – INTELLECTUAL PROPERTY
All content created, published, or distributed by Art Wine Guide – Lazovsky Kirill in the course of its services is protected by intellectual property laws and remains the exclusive property of the provider, unless otherwise stated.
This includes, but is not limited to:
Textual content (course materials, guides, articles, tasting notes, translations);
Visual content (photographs, illustrations, logos, graphic design);
Audio and video content (online lessons, recordings, interviews);
Presentation formats, structure of programs, and pedagogical tools used in training sessions or tours.
The client is granted a non-transferable, personal, and non-exclusive license to use the materials strictly for private and non-commercial purposes.
Any copying, reproduction, modification, distribution, republication, or public use of this content, in part or in full, without prior written consent from the provider is strictly prohibited and may lead to legal action.
In the case of professional use (e.g., training of third parties, commercial reuse, publication), a separate licensing agreement must be negotiated and signed.

ARTICLE 12 – APPLICABLE LAW AND JURISDICTION
These General Terms and Conditions of Sale (GTC) are governed by French law, regardless of the client’s country of origin, residence, or the place of service delivery.
Any dispute relating to the interpretation, execution, or validity of these terms shall fall under the exclusive jurisdiction of the French courts, unless otherwise provided by public order rules applicable to consumers.
In case of multiple language versions of these GTC, the French version shall prevail in the event of contradiction or dispute over interpretation.
By confirming a booking, paying an invoice, or accessing services provided by Art Wine Guide – Lazovsky Kirill, the client confirms having read, understood, and accepted these General Terms and Conditions of Sale in their entirety.
